Applied to your case, it produces a commercial opinion, recommendations, plans and guidance, in whichever format your team works in.

It adds to the diligence already done and replaces none of it. Financial, legal and technical diligence stay with the specialists who do them, and your deal team's own work stays the starting point. We answer the commercial question none of them is set up to answer, and help the team act on the answer after the close.

Financial, legal and technical diligence each have a specialist. The commercial case, which decides the outcome whether you are buying the company or backing it, is the one workstream nobody independently tests.     Runs with seller cooperation. Primary interviews and live sales call observation are what separate this from a Commercial Thesis Review.

    A Commercial Assessment is full buy-side commercial diligence on a B2B SaaS target, run with the seller's cooperation and alongside the financial, legal and technical workstreams, not in place of them. It answers whether the growth potential is real, whether the commercial engine works without the founder, what the market says when nobody is preparing the answer, and how the company should be selling instead. It runs in 6 to 12 weeks and ends in our commercial opinion, the levers for the negotiation and what should change after the close.

    GTM Engine is a 100-day engagement after the close or the round that turns diligence findings, ours or those of the diligence already done, into a working commercial plan for a B2B SaaS company. We work as the owner's or investor's commercial adviser, in focused sessions with the company's key executives, across the ideal customer profile, the GTM plan, pricing and packaging, the sales process and the operating dashboard. The plan is built with the team, and the team does the work.

    Board seat and advisory

    A standing seat rather than a project. Continuity is the deliverable.

    Board seat and advisory is a continuing non-executive engagement with an acquired B2B SaaS company, running 12 months or longer. It covers quarterly board attendance and a monthly call with the CEO, and exists to keep a commercial strategy on course after the engagement that produced it has ended. It keeps the judgment that shaped the plan in the room while the plan is executed.

Fixed fee and fixed timeline. Fees are never contingent on a transaction closing, because the entire value of this work is that it has no stake in the answer. Before work starts, we agree the concrete scope of the engagement with you: the timeline, the deliverables and their format, and the number of key meetings and interviews.
